 BYLAWS
Bylaws contain the basic rules for governing the organization. They supersede all other rules except the corporate charter, if there is one.
The provisions of the Bylaws have a direct bearing on the rights of members. They should include only those provisions that are so important that they deserve careful deliberation before action is taken to change them.
